[17 ~ <br />~~ ~ <br />rv cr, <br />MEMORANDUM OF LEASE <br />Gf <br />w THIS MEMORANDUM OF LEASE, made and entered into effect this ~ day of <br />2010 by and between R.T.M., L.L.C., a general partnership organized under the <br />tl) laws of Nebraska, with an office at 1319 W. North Front Street, Grand Island, Nebraska (the <br />"Landlord") and Arctic Glacier Nebraska Inc., an Iowa corporation, with an office at 625 Henry <br />Avenue, Winnipeg, Manitoba, Canada R3A OV 1 (the "Tenant"). <br />WITNESSETH: <br />1. LEASE. Landlord and Tenant have entered into that certain unrecorded Lease <br />dated November 18, 2004 (together with all amendments and modifications thereto and waivers <br />thereof; the "Lease"), whereby Landlord leases to Tenant certain property located in Grand <br />Island, Nebraska, more particularly described on Exhibit A attached hereto and incorporated <br />herein (the "Property"). Landlord and Tenant have agreed to record this Memorandum to give <br />notice to all persons of the Lease and so that the record will. reflect certain pertinent terms thereof <br />and the interest of Tenant in and to the Property. <br />2. LANDLORD AND TENANT'. Landlord is the landlord under the Lease. Its <br />address is as set forth above. Tenant is the tenant under the Lease. Its address is as set forth <br />above. <br />3. TERM. The term of the Lease commenced on April 1, 2005 and currently expires <br />on May 31, 2016. <br />4. OPTIONS TO RENEW. Tenant has the following options to renew the Lease on <br />the terms and conditions as stated in the Lease: Two (2) additional renewal terms, the first <br />extension being for a period of three (3) years. <br />5. MEMORANDUM. The rentals to be paid by Tenant and all of the obligations <br />and rights of Landlord and Tenant are set Earth in the Lease. This instrument is merely a <br />Memorandum of the Lease and is subject to all of its terms, conditions and provisions. In the <br />event of any inconsistency between the terms of the Lease and this instrument, the terms of the <br />Lease shall prevail as between the parties. This memorandum is binding upon and shall inure to <br />the benefit of the heirs, successors, assigns, executors and administrators of the parties. <br />6. COUNTERPARTS.
