Q mm ~ ~ ~' z ASSIGNMENT AND BILL OF SALE ~ ~. ~::~,~ FOR VALUABLE CONSIDERATION, The City of Wood River, Nebraska, a Municipal ~ .~~ Corporation of the State of Nebraska, GRANTOR, does hereby sell, assign, and transfer any and ~~, all of GRANTOR'S right, title and interest in the easements or other documents which are recorded with the Register of Deeds of Hall Caunty, Nebraska as more fully described on the Exhibit A attached hereto and made a part hereof by reference to GRANTEE, Southern Public Power District, a Public Corporation and Political Subdivision of the State of Nebraska, GRANTEE, to have and to hold unto GRANTEE and its successors and assigns forever. GRANTOR does further hereby sell, assign, and transfer any and all of GRANTOR'S right, title and interest in any subtransmission line located on such easements and all poles, con- ductors, guy wires and other equipment located an such easements, together will all rights and privileges pertaining thereto unto; GRANTOR does hereby sell, assign, and transfer any and all of GRANTOR'S right, title and interest to have and to hold unto GRANTEE and its successors and assigns forever. GRANTOR hereby covenants with the GRANTEE that GRANTOR is the lawful owner of the subtransmission line sold, assigned and transferred hereunder; that said subtransmission line is free from all encumbrance and that GRANTOR has good right to sell the same as afore- said and that GRANTOR will warrant and will defend the same against the lawful claims and demands of all persons whomsoever.
