That by Substitution of Trustee dated November 9, 2009, made by Barclays Capital Real Estate Inc. dba HomEq Servicing, Attorney in Fact for U.S. Bank National Association as Trustee under Pooling and Servicing Agreement dated as of December 1, 2006 MASTR Asset Backed Securities Trust 2006-NC3 Mortgage Pass-Through Certificates Series 2005-NC3, Grantor was substituted as Trustee in place of Gary D. Byrne. The Substitution of Trustee was recorded on January 8, 2010, as Instrument No. 201000170 in the Office of the Register of Deeds of Ha11 County, Nebraska. The fulfillment of the following conditions, as specified in the Trust Deed, authorize this conveyance: 1. Breach and default were made under the terms of the Trust Deed in the particular set forth in the notice of default hereinafter referred to, which default continued until the time of sale. 2.
