The <br />Note, Loan Agreement and other documents required by the terms and conditions of the Loan <br />Agreement are collectively referred to as the "Loan Documents." <br />WHEREAS, the execution and delivery of this Assignment to Lender is a condition of <br />Lender making the Loan. <br />NOW, THEREFORE, in consideration of the Loan and for other good and valuable <br />consideration, the receipt, adequacy and sufficiency of which are hereby acknowledged, Assignor <br />hereby agrees as follows: <br />1. Assignment. Far value received, Assignor hereby absolutely and irrevocably <br />conveys, transfers and assigns to Lender: <br />(a) All of Assignor's right, title and interest in and to any and all existing or <br />future leases, subleases, licenses, concessions or other oral or written agreements which demise <br />or grant a possessory interest in or the right to use all or any portion of the property known as <br />Riverside Golf Club, including without limitation, that certain Lease Agreement by and between <br />Assignor and RGC, the same dated September 23, 2009, related to the real property as described <br />on Exhibit A (the "Property"), attached (the "Lease") (collectively, the "Leases"), together with <br />
