Dunn <br />Rembolt Ludtke, LLl' <br />3280 Woodridge Blvd., Suite 160 <br />Grand Island, NE 68801 <br />'D .hu <br />x <br />ASSIGNMENT OF LEASE AND CONTRACTS <br />THIS ASSIGNMENT OF LEASES AND CONTRACTS ("Assi~) dated as of <br />the ~ day of March, 2010, is made by RIVERSIDE GOLF CLUB OF GRAND ISLAND, <br />a Nebraska non-proEt corporation ("Assignor"), in favor of PINNACLE BANK, a Nebraska <br />Banking Corporation ("Lender"). <br />WHEREAS, Lender has agreed to make a loan (the "Loan") to Assignor and Country <br />Club Holding Association ("CCHA"), as evidenced by a Note dated concurrently herewith in the <br />original principal amount of $2,850,000.00 (as originally executed and as hereinafter renewed, <br />extended, amended, substituted, or modified the "Nate") that is made pursuant to that certain <br />Loan Agreement by and between Assignor, CCHA and Lender (the "Loan Agreement"). The <br />Note, Loan Agreement and other documents required by the terms and conditions of the Loan <br />Agreement are collectively referred to as the "Loan Documents." <br />WHEREAS, the execution and delivery of this Assignment to Lender is a condition of <br />Lender making the Loan. <br />NOW, THEREFORE, in consideration of the Loan and for other good and valuable <br />consideration, the receipt, adequacy and sufficiency of which are hereby acknowledged, Assignor <br />hereby agrees as follows: <br />1. Assignment. For value received, Assignor hereby absolutely and irrevocably <br />conveys, transfers and assigns to Lender: <br />(a) All of Assignor's right, title and interest in and to any and all existing or <br />future leases, subleases, licenses, concessions or other oral or written agreements which demise <br />or grant a possessory interest in or the right to use all or any portion of the property known as <br />Riverside Golf Club, including without limitation, that certain Lease Agreement by and between <br />
