2oiooi~23 <br />MEMORANDUM OF RIGHT OF FIRST REFUSAL <br />This Memorandum of Right of First Refusal ("Memorandum") is made this ~ day of <br />March, 2010, by and between David E. Barrows, Personal Representative of the Estate of Delbert E. <br />Barrows, Deceased ("Grantor") and General Agricultural Services LLC, a Delaware linnited liability <br />company ("Grantee"). <br />1. Legal Description. Grantor has granted Grantee a right of first refusal to purchase the <br />real property described in the Right of First Refusal dated as of March 1~ > 2010. The real property <br />subject to the right of first refusal is legally described as: <br />BARROWS SUBDIVISION, a subdivision platted and recorded in Hall County, <br />Nebraska (the "Property"). <br />2. Term. This Right of First Refusal shall extend for a period of twenty-one (21) years <br />beginning March ~, 2010, (the "Term") in accordance with the terms of the Right of First Refusal. <br />3. Remaining_Terms. The rest and remaining terms of the right of first refusal are <br />hereby incorporated into this Memorandum by this reference as if they were set forth in full. <br />"GRANTOR" <br />David E.
