Gascho and Mary E. <br />Gascho, husband and wife ("Gascho"). <br />RECITALS <br />A. Gascho owns the real property in Hall County, Nebraska which is described on <br />Exhibit A attached to hereto ("Gascho's Property"). <br />B. CBI owns the real property described on Exhibit B attached to this Easement <br />("CBI's Property"). <br />C. Access to Gascho's Property is across the parcel described on Exhibit C attached <br />to this Easement (the "Access Parcel"). CBI, its employees, agents and business <br />invitees may cross the Access Parcel in entering the CBI Property. <br />AGREEMENT <br />In consideration of the mutual covenants and receipt of good and valuable <br />consideration, the parties have agreed as follows: <br />1. Easement. CBI hereby grants Gascho, their successors and assigns the perpetual <br />nonexclusive easement and right-of--way to the Access Parcel for ingress and <br />egress to the Gascho Property. CBI reserves the right for itself and its successors <br />and assigns to use the Access Parcel for ingress and egress to the CBI Property. <br />2. Maintenance and Repair. Either party may, at its expense, maintain, repair or <br />improve the Access Parcel as desired, provided, however, that such maintenance, <br />repair or improvement shall not diminish in any way the other parties use or <br />enjoyment of the Access Parcel as provided in this Easement for Access and Joint <br />Use. Neither party may obligate the other for maintenance, repair or <br />improvement expenses provided to the Access Parcel in the absence of express <br />agreement. <br />Any party causing damage to the Access Parcel beyond normal wear and tear of <br />traffic associated with the use of each parties parcel shall be responsible to repair <br />such damage. <br />3. Binding. It is the intention of the parties that the Easement for Access and Joint <br />Use shall be appurtenant to the Gascho Froperty and to the CBI Property and shall <br />inure to the parties, successors and assigns. <br />
