ARTICLE X ~~~ t~U60~~. <br />THE TRUSTEE <br />Section 1. The Trustee hereby accents the trust imposed <br />upon it by this Mortgage, and agrees to perform said trusts as an <br />oedinarily prudent trustee under a coroorate mortgage, but only <br />upon and subject to the following express terms and conditions: <br />(a) The Trustee may execute any of the trusts or <br />powers hereof and perform any of its duties by or <br />through attorneys, agents, receivers, or employees, and <br />shall be entitled to advice of counsel concerninc all <br />matters of trust hereof and the duties hereunder, and <br />may in all cases pay such reasonable compensation to all <br />such attorneys, agents, receivers, and employees as may <br />reasonably be employed in connection with the trusts <br />hereof. The Trustee may act upon the opinion or advice <br />of any attorney, surveyor, engineer, or accountant <br />selected in the exercise of rea_onable care, or, if <br />selected or retained by the Issuer prior to the occur- <br />rence of a default of which the Trustee has been <br />notified, as provided in subsection (g) of this section, <br />or of which by said subsection the Trustee is deemed to <br />have notice, approved by the Trustee in the exercise of <br />such care. The Trustee shall not be responsible for anu <br />less or damage resulting from any action or non-action <br />in accordance with any such opinion or advise. <br />(b) Tne Trustee shall not be responsible for any <br />recital herein, or in said Bonds texcept in respPcC to <br />the certificate of the Trustee endorsed on such d4ncl~l, <br />or for the recording or re-recording, filing or refilinct <br />of this Mortgage, or for insuring the property herei€: <br />conveyed, or for the validity of the executikn h;. *~:~ <br />issuer of this Mortgag®, or of any supplements thereto <br />or xnstrts+~ents of further assuranc._*, or for ttt~ -~uffl- <br />cieney of the security for the '±onds issued hereunder# <br />or intended ter be secured hereby, or for the valLLte 4~r <br />title of t:^.e property .`^.eein conveyed; ~xc~pt that i <br />the evert the Trustee ~nt~rs i€~to pons=ssi~^ ~~. a pa=t <br />or all of the property herein conveyed, pursuant to any <br />provision of this +tartyage, it shall use slue diligence <br />in preserving such propertyt and the Trustee shall Hirt <br />be bound to ascertain or inquire as to the performance <br />or observance of any covenants, conditions, or agree <br />ments on the part of the Issuer, except as hereinafter <br />set forth; but the Truskee may require of the lssuer <br />full information and advice as to the performance crf the <br />covenants, conditions, and agreements aforesaid as t~? <br />the condition of the property herein conveyed. <br />(c) The Truskee shall not be accountable for thy! <br />use of any Bonds authenticated or delivered hereunder. <br />The Trustee may become the owner of Bonds which are <br />secured hereby with the same rights which it would have <br />if not Trustee. <br />{d) The Trustee shall be protected in acting upon <br />any notice., request, consent, certificate, order, <br />affidavit, letter, telgram, or other paper or document <br />believed by it to be yenuine and correct and to have <br />been signed or sent by the proper person or persons. <br />Any action taken by the Trustee pursuant to this <br />10-a <br />
