81--t1v~05Q <br />mortgage may be foreclosed either by public sale or by proceedings <br />in equity, and the Trustee or the Holder cr Holders of any of the <br />Bonds then outstanding, whether or not then in default of payment <br />of principal or interest, may become the purchaser at any fore- <br />closure sale, if the highest bidder. <br />In the event the Trustee purchases the Project at any <br />such foreclosure sale, it shall have the right and authority to <br />manage, lease, and sell the same on whatever terms and conditions <br />it deems to be in the best interest of the Bondholders, including <br />determination as to price and method of payment, including the <br />carrying back of part or all of the purchase price by notes and <br />mortgages. <br />Section 4. Upon default, in order to facilitate <br />Trustee's enforcing its rights and remedies as a secured party <br />under the Uniform Commercial Code (the "UCC"), Issuer hereby <br />agrees that Trustee or its representatives may take possssion of <br />such of the Project as is not real estate and may enter any c~rem- <br />ises of Issuer to take possession of such properties and the <br />proceeds thereof; authorizes and empowers Trustee and its repre- <br />sentatives to take possession of said properties and the proceeds <br />thereof from any and all third parties; and ack~towledges and <br />agr@@s that Tr',~st°e's taking p.,saession of aai~ pr,i~~~ti~~ ~~~1 the <br />proceeds thereof will not be considered as a breach of the pewee <br />and may be done without the order of any court. <br />Issuer hereby agrees that upon 'Trustee's taking posses- <br />sion of the said properties and the groceeds thereof, Trustee <br />shall have and is hereby granted the right to uae, mgroue, <br />operate, hold, lease, sell, or otherwise dispose of said proper <br />ties and the the proceeds thereof ar any portion thereof, in .such <br />a manner and for such an amount as Trustee, in its sole discre- <br />tion, deems to be in the best interest of the holders of the <br />Bonds. In the event Trustee sells or otherwise disposes of ali or <br />any portion of said properties, Issuer acknawledcles and agrees <br />that any sale of Auch of the properties, after having given Issuer <br />fifteen (15) days' written notice, including the method, manner, <br />4-c <br />
