2A4 <br /> <br />Agent. Payment of the principal of and interest on *..he Bonds <br />shall be made payable in accordance with the provisions set <br />forth in Sections 206 and 207 of this Indenture. <br />Section 204. Certificates of Authentication and <br />Re istration. Only such of the Bonds as she 1 have endorsed <br />ereon certificates executed by the Clerk of the Issuer, <br />the Trustee and the Bond Registrar, substantially in the <br />forms set forth above in this Indenture, shall he entitled <br />to any benefit or security under this Indenture. No Bond <br />shall be valid or obligatory for any purpose unless and <br />until both such certificates shall have been duly executed. <br />Such executed certificates upon any such Bond shall be <br />conclusive evident: that such Bond has been duly registered, <br />authenticated and delivered under this Indenture. The <br />Trustee's Certificate of Authentication on any Bond shall be <br />deemed to have been duly executed if signed by an authorized <br />officer of the Trustee, but it shall not be necessary that <br />the same officer sign the Certificate of Authentication on <br />all of the Bonds that may be issued hereunder at any one <br />time. <br />Section 205. Negotiability. The Bonds shall have, and <br />are hereby declared to have, all the qualities and <br />incidents, including negotiability, of investment securities <br />under the Uniform Commercial Code of the State . <br />Section 206. Re istration and Transfer of Bonds. As <br />long as any of the Series 1981 Bonds issued hereun er shall <br />remain outstanding, the Issuer shall cause books for the <br />registration and for the transfer of the Bonds as provided <br />in this Indenture to be kept by The Overland National Bank <br />of Grand Island, Grand Island, Nebraska, which is hereby <br />constituted and appointed the Bond Registrar of the Issuer. <br />This Series 1981 Bonds issued hereunder shall be registered <br />on said books as to principal and interest on such hooks. <br />Any such registered Bond may be transferred only upon duly <br />endorsing said Bond for transfer or upon an assignment duly <br />executed by the registered owner or his attorney or legal <br />representative in such form as shall be satisfactory to the <br />Bond Registrar, and such transfer to be made on such books <br />and endorsed on the Bond by the Bond Registrar. Upon <br />aurreAder for transfer of any fully registered Bond at the <br />principal office of the Trustee, the Issuer shall execute <br />and the Trustee shall authenticate and deliver in the name <br />of the transferee or transferees a new fully registered Band <br />or Bonds for a like aggregate principal amount. Such <br />transfer may be to bearer and thereby transferability by <br />delivery shall be restored, subject, however, to successive <br />registrations as before. No charge shall be made to any <br />Bondholder for the privilege of registration or transfer <br />hereinabove granted, however, any Bondholder requesting any <br />such registration or transfer shall pay any tax, fee or <br />27 <br /> <br />u <br /> <br /> <br />
