r <br />g~.-- c,~~osS~ <br />Section 6, Quorum. <br />A Quorum for Association meetings shall consist of thepresence, in person or <br />by proxy, of suite or garage owners holding a majority of the total basic value o£ <br />the Condominium Property Regime, using the percentages set forth in Paragraph VI <br />of the Master Deed, unless otherwise provided in these By-Laws or the Master Deed. <br />Section 7. Vesting. <br />The owner or owners of each suite or garage, or same person designated by such <br />owner or owners to act as proxy on his or their behalf and who need not be an .owner, <br />shall be entitled to east the votes appurtenant to such suite or garage at all meetings. <br />The designation of any such proxy shall be made in writing to ththeeownerror owneisall <br />be revocable at any time by written notice tc the Secretary, by <br />so designating. In instances of other than individual ownership, any or all of such <br />owners may be present at any meeting of the owners and (those constituting a group <br />acting unanimously), may vote or take any other action as anford*_hedownerworrowners <br />in person or by proxy. However, no person may act as proxy <br />of more than one suite. The total number of votes of all suite owners shall be <br />9,434 and each suite or garage owner (including the Developer and the Board of <br />Administrators, if the Developer shall then own, or the Board of Administrators, <br />or its drasignee, shall then hold title to one or more suites) shall be entitled to <br />cast one vote at all meetings of the suite owners far each one-hundredth percent <br />(.01~) of interest in the common areas and facilities applicable to his or thsuite <br />suite cr garage. A fiduciary shall be the voting member with respect to any <br />or garage owned in a fiduciary capacity. <br />Section 8. Majority Vote. <br />The vote of a majority of the votes represented at a meeting at which a quorum <br />shall be present shall be binding upon all suite and narage owners for all purposes <br />except where in the Master Beed and Declaration or these By-Laws, a higher percentage <br />vale is required. <br />c~-r_;c,n 4. Procedure. <br />The President shall preside over members' meetings and the Secretary shall keep <br />the minute book wherein the resolutions shall be recorded. <br />Section 10. <br /> <br />if any meeting of the Association cannot be he id because a quorum has not attended, <br />a majority in cv,TuTian interes*_ of the suite or garage awners who `are pireieenotalesscthan <br />meeting, either in person or by proxy, may adjourn tiYe aeetirg a - <br />forty-eight (48) hours from the time the original meeting was called. <br />ARTICLE III. BOARD OF A <br />Section 1. __Number and Qualif~.cation. <br />The affairs of the Association and the Condominium Property Regime shall be <br />governed by a Board of Administrators (also called "Directors"), until May 1, 1982 <br />or until the Developer shall relinquish its control by written notice to all owners, <br />whichever shall first occur, and there-after until their successor shall have been <br />duly elected by the Association. Until rhea the Developer, Mid-Continent Enterprises, <br />Inc., shall designate all members of the Board of Administrators, officers and employees <br />of the Association. Thereafter, the Board of Administrators shall be composed of <br />not less than five {5) nar more than nine (9) persons, all of whom shall be suite <br />or garage owners in the "C" Windsor Square Condominium Property Regime or any other <br />Gandominium Property Regime over which the Association then has jurisdiction. <br />_j_ <br />
