<br />THIS MEMORANDUM OF AG.EEMENT ("Agreement") is made this

<br />County, Nebraska general partnership, and accordingly filed with
<br />the Hall County, Nebraska, Register of Deeds,
<br />W I T N E S S E T H:
<br />WHEREAS, JAAiCO Partnership purchased certain parcels of
<br />real property from R 6 A Properties, a partnership, pursuant to
<br />a Contract for Sale of Real Estate dated February 1, 1978,
<br />WHEREAS, the 6r'arranty Deed executed by R & A Properties
<br />pursuant to said Contract has c~een placed in escrow pursuant to
<br />the `erm= of said Contract?
<br />WHEREAS, the real property purchased pursuant to said
<br />Contract, together with any and all improvements and any personal
