~~~ <br />ARTZCI.B VZ. <br />Powers and Duties of the Board of Directors <br />1. Powers. with regard to each Condominium Property <br />Regina+s, over~rahich this corporation has managemient responsi- <br />hility, the Board of Directors shall have payer to: <br />(a} Adopt and publish rules and zequlatians <br />governing the use of the Coam+on Elements and facilities, sad <br />the personal conduct of the members and their guests thereon, <br />and to estabiieh penalties for the infraction thereof; <br />{b} Suspend the voting rights and the'right to <br />use of the recreational facilities of a villa owner during <br />any period in which such villa owner shall be in default in <br />the payment of any assessments levied by the Association. <br />Such rights may also bye suspended after notice and hearing, <br />but for a period not to exceed sixty (b0) days, for in- <br />fraction of published rules and r,agulations; <br />(c) Exercise for the Association all powers, <br />duties and authorities vested in or delegated to this As- <br />sociation, and not reserved to the villa owners by the <br />Master Deed; <br />(d) Employ a manager, an independent contractor, <br />or such other employees as they deem necessary, and to <br />grescribe their duties. <br />2. Duties. Zt shall be the duty of the Board of <br />Directors to: <br />{ai Cause to be kept a complete record of all of <br />its acts and corporate affairs and to present a statement <br />thereof to the villa owners not less frequently than semi- <br />annual3y; <br />(b) Supervise all officers: agents and employees <br />of the Association and to see that their duties are properly <br />g2rfarmed; <br />{c) As more fully set cut in the Master Deed to: <br />{l) Fix the amount of the annual assessments <br />against each villa at least thirty {30) days in advance of <br />each annual assessment; <br />(2) Send written notice of each assessment <br />to every villa owner subject thereto at least thirty {30) <br />days in advance of each annual assessment period; and <br />(3) Foreclose the lien against any property <br />for which assessments are not paid within thirty (30) days <br />after due date or to bring an action at law against the <br />owner personally obligated to pay the same; <br />(d} Zssue or cause an appropriate officer to <br />issue, upon demand by any person, a certificate setting <br />forth wkiett~r or not any assessment has been paid. Reason- <br />ab charge rm~y be :sods by the Board for the issuance of <br />these eertif icates. If a certificate states that an as- <br />sesswent has been said, such certificate shall be conclusive <br />evidmnce of such payments; <br />(e} Procure end maintain adequare liability and <br />haa~rd ix;suranee on the entire real estate in each gairway <br />grilse s:cndtwainiuta Property Regime and on any personal <br />property owned by the Association; , <br />-~- <br />
