<br />TERM AGREEMENT
<br />AGREEMENT, made and entered into this 18th day of August,
<br />1980, by and between WRC PROPERTIES, INC., a Delaware corpora-
<br />tion, having an address at 730 Third Avenue, New York, New
<br />York 10017, hereinafter called the "Landlord", and J. C. PENNEY
<br />COMPANY, INC., a Delaware corporation with offices at 1301
<br />Avenue of .the Americas, New York, New York 10019, hereinafter
<br />called the "Tenant",
<br />W I T N E S S E T H: That
<br />WHEREAS, by indenture of lease dated August 15, 1979, a
<br />Memorandum of which was recorded August 27, 1979 as Instrument
<br />No. 79-005520, Landlord demised and leased unto Tenant certain
<br />premises in the Conestoga Mall Shopping Center which is located
<br />on part of the Conestoga Mall Subdivision in part of the East
<br />Half of the Southeast Quarter (E '~ SE '~) of Section Twelve (12),
<br />Too~nship Eleven (11) North, Range Ten (10) West of the 6th PM,
<br />in the City of Grand Island, Hall County, Nebraska, for a term
<br />commencing as of the date Tenant opens for business therein and
<br />continuing thereafter to and including the date twenty (20)
<br />years from the first day of the first month immediately follow-
<br />ing such commencement date, unless sooner terminated or extended
<br />as provided therein;_and
<br />WHEREAS, Tenant opened for business in the demised premises
<br />on F.ugust 6, 1980,
<br />N~?u±, THEREFORE, the parties hereto agree as follows:
<br />__ The term of said lease commenced on August 6, 1980,
<br />and shall continue until August 31, 2000, unless sooner terminated
<br />or extended as provided therein.
<br />2. The first "Lease Year" shall be considered to
<br />commence on August 6, 1980, and to expire on August 31, 1981,
<br />the second Lease Year shall be considered to commence on
<br />Septe~iiner 1, 1981, and to expire on August 31, 1982, and all
<br />subsequent Lease Years shall begin and terminate on the same dates
<br />~=~-~~ the second Lease Year) in subsequent years.
