<br />8d,~. ©0 51 a'7 <br />the proceeds remaining to be withdrawn from the Fund are <br />adequate and sufficient to complete the Common Area Improve- <br />ments in accordance with the Plans and Specifications. <br />Such vouchers shall be issued only for work completed and <br />for materials in place, and physically incorporated into the <br />construction, free of any chattel mortgage, conditional <br />sale, security interest or any other lien or encumbrance. <br />Each such voucher when authorized by the person or persons <br />named in the voucher authorization shall constitute a <br />representation with respect to the work and materials for <br />which payment is requested, that they shall be physically <br />incorporated into the constructio.^. and he free of liens and <br />encumbrances aforesaid and shall be accomganied by a lie; <br />waiver from each contractor in form suitable for filing in <br />the State of Nebraska. Each such voucher shall be subject to <br />the approval of the Seller which approval shall not be <br />unreasonably withheld. On approval of the vouchers by the <br />Seller, the Seller shall then withdraw the requisite amount <br />fraa the Fund, payable to the parson entitled thereto <br />pursuant to the voucher. <br />{d) Suyer's architect/engineer shall further deliver a <br />certification that all work done and all materials furnished <br />at the state of construction when withdrawal from the Fund <br />is to be made have been done and furnished in a good and <br />worksanlike manner and in accordance with sound construction <br />principles. <br />{e) A21 vouchers for payment shall further be accom- <br />ponied by bills from all contractors for the monies which <br />withdrawal fros the Funds is requested. <br />Notwithstanding the foregoing, Seiler agrees to permit <br />-4- <br />
