All <br />notices given in accordance with the provisions of this para- <br />graph shall be deemed given when placed in the mails. <br />11.2 This Partnership Agreement shall be bind- <br />ing upon the garties hereto and their respective successors, <br />executors, administrators, legal representatives, heirs and <br />assigns and shall inure to the benefit of the parties hereto <br />and, except as otherwise provided herein, their respective <br />successors, executors, administrators, legal representatives, <br />heirs and assigns. <br />11.3 if the partners are unable to agree on <br />any matter with respect to the construction of this Partner- <br />ship Agreement or the conduct of the Partnership's business, <br />the sale remedy of the partners (or any of them) shall be to <br />submit the controversy to binding arbitration in the City <br />of New York in accordance with the rules then obtaining of <br />the American Arbitration Association, and judgment upon the <br />award rendered by the arbitrators may be entered in sny court <br />having jurisdiction thereof. <br />IN WETNESS i+1HEREOF, the parties hereto have executed <br />this Agreement as of the day and year first above written. <br />MGZ CORPOj~j I> t <br />By <br />'~""~c~-= c.
