$~-- U94996 <br />or sending notice of an intended bulk sale; insolvency, how- <br />ever evidenced; suspension or liquidation of their usual <br />business; default in payment or performance of this note or <br />any other obligation to, or acquired in any manner by, the <br />holder hereof; or if the condition of affairs of any of them <br />shall so change as, in the opinion of the holder hereof, <br />shall increase its credit risk or if it deems itself insecure. <br />Each maker and indorser agrees that if an attorney is <br />used to enforce or collect this note for non-payment at maturity, <br />expressed or declared, an attorney's fee of 2©8 of principal <br />and interest due shall be added thereto. Each maker or indorser <br />in any litigation arising out of or relating to this note waives <br />trial by jury and the right to interpose any defense based upon <br />any Statute of Limitations or any claim of lathes and any set-off <br />or counterclaim of any nature or description. This note shall <br />be governed by and construed in accordance with the laws of the <br />State of New York. The maker and any indorser hereby consent <br />to the personal jurisdiction of any State or Federal Court <br />within the City of New York. Any provision hereof which may <br />prove unenforceable under any law shall not affect the validity <br />of any other provision hereof. <br />Any maker or indorser hereof hereby waives presentment, <br />demand for payment, notice of dishonor, protest and notice of <br />protest, and any or all other notices of demands in connection <br />with this note. The liability o€ any maker or indorser hereunder <br />shall be unconditional and shall not be in any manner affected by <br />any indulgence whatsoever granted or consented by the holder <br />hereof, including bui not limited to any extension of time, <br />rene+ral, waiver or other modification.
