J~~~•r ~`A" ADDENULJ~4 TO LEASE WHEREAS, on the 25tH day of October, 1976, effective c_i the 15th day of March, 1977, a lease agreement was entered into by and between Arthur P. Terry and Maxine M. Terry, husband and wife, therein and herein referred to as Lessors, and Quirk Land and Cattle Company, a Nebraska Corporation, therein and herein referred to as Lessee, of certain properties in Hall County, Nebraska, in the vicinity of the Platte River with detailed descriptions thereof ` set forth in said lease agreement and an Addendum thereto, which properties are hereinafter referred to as "leased premises"; WHEREAS, paragraph 16 of the lease agreement provides that, in the event Lessors decide to sell the leased premises, Lessors must give .the Lessee the first right to purchase the leased premises; WHEREAS, Lessors are currently negotiating for the sale of the leased premises to The Nature Conservancy, a non-profit corporation organized and existing under the laws of the District of Columbia, and Lessors may wish to sell the leased premises or a portian thereof to The Nature Conservancy; and WHEREAS, Lessee has no desire to exercise its first right to purchase the leased premises; IT ZS NOW THEREFORE AGREED that the lease agreement set forth w, i.n the recitation above be amended as followse • -- - -- - - in consideration of $10.00, the receipt and sufficiency of which is hereby acknowledged, Lessee agrees to and hereby does waive its first right to purchase the leased premises under paragraph 16 of the lease agreement. This waiver applies only if Lessors sell the leased gremises, or any portion thereof, to The Nature Conservancy. Lessors are not required to communicate a bona fide offer to purchase the leased premises by The Nature Conservancy to Lessee as required by paragraph lb sf the lease-agreement. Lessors agree that, if the leased premises axe sold during the term of the Iease to The Nature '' Conservancy, the sale will be subject to the terms of the lease _ agreement.
