J~~~•r ~`A" ADDENULJ~4 TO LEASE <br />WHEREAS, on the 25tH day of October, 1976, effective c_i the <br />15th day of March, 1977, a lease agreement was entered into by <br />and between Arthur P. Terry and Maxine M. Terry, husband and wife, <br />therein and herein referred to as Lessors, and Quirk Land and Cattle <br />Company, a Nebraska Corporation, therein and herein referred to as <br />Lessee, of certain properties in Hall County, Nebraska, in the <br />vicinity of the Platte River with detailed descriptions thereof <br />` set forth in said lease agreement and an Addendum thereto, which <br />properties are hereinafter referred to as "leased premises"; <br />WHEREAS, paragraph 16 of the lease agreement provides that, <br />in the event Lessors decide to sell the leased premises, Lessors <br />must give .the Lessee the first right to purchase the leased <br />premises; <br />WHEREAS, Lessors are currently negotiating for the sale of the <br />leased premises to The Nature Conservancy, a non-profit corporation <br />organized and existing under the laws of the District of Columbia, <br />and Lessors may wish to sell the leased premises or a portian thereof <br />to The Nature Conservancy; and <br />WHEREAS, Lessee has no desire to exercise its first right to <br />purchase the leased premises; <br />IT ZS NOW THEREFORE AGREED that the lease agreement set forth w, <br />i.n the recitation above be amended as followse <br />• -- - -- - - <br />in consideration of $10.00, the receipt and sufficiency of <br />which is hereby acknowledged, Lessee agrees to and hereby does <br />waive its first right to purchase the leased premises under paragraph <br />16 of the lease agreement. This waiver applies only if Lessors sell <br />the leased gremises, or any portion thereof, to The Nature Conservancy. <br />Lessors are not required to communicate a bona fide offer to purchase <br />the leased premises by The Nature Conservancy to Lessee as required <br />by paragraph lb sf the lease-agreement. Lessors agree that, if the <br />leased premises axe sold during the term of the Iease to The Nature <br />'' Conservancy, the sale will be subject to the terms of the lease <br />_ agreement. <br />
