<br />to negotiate, execute, acknowledye end delivc,- for, in the name and on behalf of the Company and of
<br />-Ridge Pike Lumber Co. Inc. (formerly a subsidiary and Hour a constituent port of the Company), home
<br />purchase contracts, mortgages, assignments of leases, instruments of conveyance, security agreements,
<br />finking statements, lien waivers, satisfactions, releases and/or assignments of mortgages or other
<br />papers and cbcuments as centain in each instance terms, conditions and provisions approved by the
<br />Company codas in each instance are determined by the Company to be necessary or appropriate for the
<br />business of Capp Homes, Ridge Homes, or Evantivay Homes, such approves! and defiermination to be
<br />conclusively deemed to have been effected by any action taken hereunder by any of the persons referred
<br />to above; and
<br />FURTHER- RESOLVED, That the Secretary or any Assistant Secretary of the Company shat! -have
<br />tfae power to attest such execution and to affix the Company's seat to any such instrument when
<br />,',required; and persons who execute or attest instruments, as provided herein, are authorized to
<br />acknowledge such execution on behnlf of the Compony.
