~~'~V V~~MLIT~~.A71J ARTICLE III COVENANTS OF SUBLESSEE Section 3.1 Sublessee covenants that_ it is duly organ- ized as a separate Iegal entity under the provisions of the Interlocal Cooperation Act by virtue of an Agreement executed and duly authorized in x971 by and between the County of Adams, Nebraska; the County of Blaine, Nebraska; the County of Buffalo, Nebraska; the County of Clay, Nebraska; the County of Custer, Nebraska; the County of Franklin, Nebraska; the County of Furnas, Nebraska; the County of Garfield, Nebraska; the County of Greeley, Nebraska; the County of Hall, Nebraska; the County of Hamilton, Nebraska; the County of Harlan, Nebraska; the County of Howard, Nebraska; the County of Kearney, Nebraska; the County of Loup, Nebraska; the County of Merrick, Nebraska; the County of Nuckolls, Nebraska; the County of Phelps, Nebraska; the County of Sherman, Nebraska; the County o€ Va12ey, Nebraska; the County of Webster, Nebraska; and the County of Wheeler, Nebraska; and the Department of Public Institutions of the State of Nebraska; that said Agree- ment, as amended by Resolution adopted by each of said counties, remains in full force and effect and Sublessee continues to oper- ate thereunder and also pursuant to Section 83-1141 to 83-1145 R. ~..~. 1eb. .g4~ end that at is duly authorize.. under said Agree- ment to contract as herein provided. Section 3.2 Mid-Nebraska Mental Retardation Services, Inc., as one of the constitutents of Sublessee, hereby covenants that it is a not-for-profit corporation duly existing under the Nebraska not-for-profit corporation law, with lawful power and authority to enter into this Sublease. Mid-Nebraska Mental Re- tardation Services, Inc., as a constitutent of Sublessee agrees to :~aintain and preserve its corporate existence as a not-for-- profit corporation of such nature as will permit it and its property to be exempt, to the extent permitted by law, from all federal, state, and local income, property, franchise, and other taxes and as will contfnue the exemption from federal income taxation of the interest on the Bonds.
