<br />ARTICLES OF INCORPORATION
<br />OF
<br />RECTOR REDIMIX CONCRETE CO.
<br />We, the undersigned, natural persons of legal age, acting as Incorporators
<br />of a corporation under the Nebraska Business Corporation Act, adopt the follawing
<br />Articles of Incorporation of such corporation:
<br />I.
<br />NAME
<br />The name of the corporation is RECTOR REDIMIX CONCRETE CO.
<br />II.
<br />DURATION
<br />The period of the Corporation's duration is perpetual.
<br />III.
<br />PURPOSES AND POWERS
<br />In addition to the powers conferred by law and not in limitation thereof,
<br />the nature of the business and the obfects and purposes to be transacted, promoted
<br />and carried on are: _
<br />{a) To own .and operate ready-mixed concrete businesses and
<br />to buy, sell, manufacture, produce, handle, and deal
<br />in building and construction materials, supplies, and
<br />products used in construction work of all kinds in-
<br />cluding, but not limited to, ready-mixed concrete,
<br />asphaltic concrete, and other concrete products.
<br />{b) To purchase, take on, lease: or sublease, and otherwise
<br />acquire, own, use, hold, occupy, manage, control, maintain,
<br />improve, develop, mortgage and otherwise encumber, sell,
<br />exchange, assign, transfer, convey, lease, sublease and
<br />otherwise dispose of, and generally deal in and with real
<br />and personal property of whatever kind and wherever situated,
<br />and any and all interests and rights therein and thereto;
<br />{c) To operate and carry on every kind of commercial, agricultural,
<br />mercantile, and manufacturing or industrial enterprise,
<br />business or businesses as now is or hereafter may become
<br />advantageous to the continued profitable operation of the
<br />Corporation;
