~~ PAGE J~ <br />incompetent, his committee, conservator or representative, <br />~~ shall have the same rights and obligations which such Limited <br />Partner would have had if he had not died or had not been <br />adjudicated legally incompetent, except that his executor, <br />administrator, trustee, committee, conservator, representative <br />or successor shall not become a substituted limited partner <br />without the written consent of the General Partner. <br />As conditions to his admission as a substituted <br />limited partner (a) any assignee, legatee, distributee, <br />transferee or successor of a Limited Partner shall execute <br />and deliver such instruments, in form and substance satis- <br />factory to the General Partner, as the General Partner shall <br />deem necessary or desirable to cause him to become a substituted <br />limited partner, and (b) such assignee, legatee, distributee, <br />transferee or. successor shall pay all reasonable expenses in <br />connection with his admission as a substituted limited <br />partner, including but not limited to, the cost of preparation <br />- and filing of any amendment to the Certificate of Limited <br />Partnership necessary or desirable in connection therewith. <br />11. Admission of Additional Limited Partners. <br />There is no prevision for admitting additional limited <br />partners to the Partnership. <br />-° i2. Priorities Among Limited Partners. No Limited <br />Partner has been given the right to priority over other <br />Limited Partners for any purpose whatsoever. <br />13. Continuation of Business. The withdrawal, <br />death, legal incompetency or bankruptcy of the General <br />Partner will result in a dissolution of the Partnership. <br />14. Right to Receive Property Other than Cash.
