200910044 Section IV. Amendments to Lease Purchase Agreement as Amended by Addendum. The Lease Purchase Agreement as amended by the First Addendum, the Second Addendum and this Addendum maybe amended only in accordance with the terms of the Indenture. Section V. Assi nment of Pa ments• Obli ations of Colle a Unconditional. Under the Indenture the Payments have been assigned on an absolute and unconditional basis in order to effect the payment of principal and interest on the Bonds. The College hereby agrees that no amendment reducing the amount of the Payments or extending the time of payment thereof shall be made without the consent of the registered owners of each of the Bonds affected thereby. The Payments may be reduced in the event of any refunding of the Bonds, provided that no such reduction shall take effect so long as any of the Bonds remain outstanding under the terms of the Indenture. The College hereby agrees that the Trustee shall have the right to enforce any and all of its obligations with respect to the Payments under the Lease Purchase Agreement as amended by the First Addendum, the Second Addendum and this Addendum. Section VI. Confirmation of Terms of Lease Purchase Agreement. Except as specifically rnadified and amended by this Addendum, all other terms and provision of the Lease Purchase Agreement as amended by the First Addendum and the Second Addendum previously executed by and between the College and Corporation shall remain in full force and effect. Section VII. Trustee's Original. Only that copy of the Agreement consisting of that copy of this Addendum which is labeled as "Trustee's Original" and to which there is attached a signed copy of the Lease Purchase Agreement shall constitute the Agreement. .Duplicate originals may be prepared and executed for the convenience of the parties only. Section VIII. Date of Addendum. This Addendum has been dated for convenience of reference as shown on the initial page hereof. This Addendum has been actually executed on the date set forth below for each of the parties.
