zoo~osozs Trust Indenture and Security Agreement and the rights hereby granted shall cease, determine and be void; otherwise this Trust Indenture and Security Agreement to remain in full force and effect. THIS FIRST SUPPLEMENTAL TRUST 1NDENTURE AND SECURITY AGREEMENT FURTHER WITNESSETH: That all Bonds issued hereunder are to be issued, authenticated and delivered, and all said revenues, income and other property hereby pledged are to be dealt with and disposed of under, upon and subject to the terms, conditions, trusts, uses and purposes hereinafter expressed, and the Corporation has agreed and covenanted and does hereby agree and covenant with the Trustee and with the respective owners, from time to time, of the Bonds, as follows, that is to say: ARTICLE I CONFIRMATION AND INCORPORATION OF TERMS OF INDENTURE. Section 1. The Corporation and the Trustee hereby confirm with respect to the 2009B Bonds herein authorized that the 2009B Bonds are being issued as Completion Bonds as defined in the Original Indenture. All terms of the Original Indenture relating to Bonds, as defined in Che Original Indenture, shall apply to the 2009B Bonds. All of the terms and conditions of the Original Indenture, except to the extent modified by the express terms of this First Supplemental Indenture, are hereby confirmed and incorporated by reference and this First Supplemental Indenture shall constitute a "supplemental indenture" as described and referred to in of the Original Indenture. All terms defined in the Original Indenture either by parenthesis or in Article I thereof shall have the same meanings herein as are set forth in the Original Indenture except to the extent modified in Sections 1.02 and 1.03 of this Article I. Section 2. For purposes of this First Supplemental Indenture and the Original Indenture the following additional terms shall have the following meanings, unless the context shall clearly indicate some other meaning, to-wit: "additional bonds" -any bonds issued hereunder other than the 2009A Bonds and 2009B Bonds. "Bond" or "Bands" -any bond or bonds issued pursuant to, in accordance with and secured by the Original Indenture as supplemented, including the 2009A Bonds, 2009B Bonds, Completion Bonds and any additional bonds. " 2009B Bonds" -the $3,600,000 of Building Bonds (Health Science Education Center Project), Series 2009B, issued hereunder. "Completion Bonds" -additional bonds to be issued in a principal amount not to exceed $4,290,000 to pay further costs of the Project. "Construction Fund" the Construction and Acquisition Fund established with the Trustee under the terms of Section 1 of Article VI of this Indenture. "Underwriter" - Ameritas Investment Corp., in its capacity as original purchaser of the 2009B Bonds. ARTICLE II
