Dietze and Patricia J. Dietze, husband and wife, (hereinafiter the <br />"Dietxes'~ hold a right of first refusal, contained in Instrument No. 2003-03346, Hall County <br />Register of Deeds to purchase the Property in the event the Hackensmiths find a ready, willing <br />and able buyer far the Property; and <br />WI~EREAS, Hackensmiths have entered into a Real Estate Purchase Agreement dated <br />July 23, 2009 wherein and whereby the Hoclcensmiths agree to sell the Property to Darren P. and <br />Cassandra J. Ivy and James A. and Pamela J. Rose (hereinafter the "Huyers'~ for a purchase <br />price of One Hundred Eighty-nine' Thousand Six hundred Sixty-six Dollars and 00/100 <br />($189,666.00), less allowances of Eight Thousand One Hundred Sixty-six Dollars and 00/100 <br />($8,166.00), for a net sales price of One Hundred Eighty-one Thousand Five Hundred Dollars <br />and o0/100 ($18I,S00.00) (hereinafter referred to as the "Purchase Agreement"); and , <br />WHEREAS, the Buyers appeaz to be ready, willing and able to complete the closing of <br />the Purchase Agreement and the Dietzes do not desire to exercise their right of first refusal in the <br />event of closing of the Purchase Agreement; <br />NOW, THEREFORE, Paul J. Dietze and Patricia J. Dietze, husband and wife, hereby <br />release their right of first refusal to purchase the Property in the event the Purchase Agreement <br />timely closes for a net purchase price of One Hundred Eighty-one Thousand Five Hundred <br />Dollars and Op/100 ($181,500.00) pursuant to the current terms and conditions of the Purclase <br />Agreement. <br />This Release shall became effective only in the event that the Purchase Agreement timely <br />closes under the same terms and conditions as currently exist. This condition shall be rnet in the <br />event a watrauty deed is filed of record reflecting a purchase price of not less than One Hundred <br />Eighty-one Thousand Five Hundred Dollars and p0/100 ($181,SOp.00) ar disclosing payment of <br />real estate transfer tax in an amount not less than Four Hundred None Dollars and 50/100 <br />($409.50) ($182,000 at $2.25 per $1,000.00). <br />
