Richardson and Kenneth R. Richardson, or whichever of them is available and willing to act, to act as my attorney in fact ("my agent"). Each of Judith L. Richardson and Kenneth R. Richardson has full authority to act unilaterally as my agent, without the consent of the other of them. 1.Q0 GRANT OF AUTHORITY: I gent to my agent all of the powers gamed to an agent in Colorado Revised Statutes §§ 15-1-1304 to 15-1-1317, and I incorporate such provisions in this General Durable Power of Attorney ("this Power"). This Power is authorized by Colorado Revised Statutes § 15-1- 1302(lxa)_ In addition to the powers granted to my agent under this Power, I authorize my agent to: 1A1 Engage, employ, compensate, or dismiss any agents, clerics, servants, or other persons for my benefit or to accomplish any purpose set forth in this document as my agent shall see fit; 1.02 Exercise voting rights in any corporation, partnership, limited liability company, or other business entity in which I own any interest in such a manner as to allow my agent to serve as director, officer, or other manager of such entity; 1.03 Add any of my assets to any trust which authorizes me to make any such additions, revoke or surrender any right to revoke any revocable mist in the manner and circumstances in which my agent believes I would make such a revocation or surrender of a right to revoke, and institute an action in a court having jurisdiction far a protective order authorizing the creation of a trust for my benefit; 1.04 Receive reasonable compensation for services rendered and for reimbursemerrt for actual and necessary expenses reasonably incurred; 1.OS Enter into purchases, sales, leases, loans, exchanges, and other commercial transactions between my agent individually or any corporation, partnership, trust, limited liability company, or other business or financial organization in which my agent has an interest and me or any corporation, partnership, trust, limited liability company, or other business ar financial organization in which I have an interest, such transactions to be upon such terms as are deemed advisable by an independent substitute agent to whom my agent has delegated such powers in the manner described in 6.00 of this Power, acting alone and in such independem substitute agexrt's sole judgment; 1.06 Appoi~ a substitute agent as provided in 6.01; and
