<br />LICENSE AGREEMENT
<br />This License Agreement ( "Agreement ") is made by and between the CITY OF GRAND
<br />ISLAND, NEBRASKA, a Municipal Corporation ( "Licensor ") and WAL MART REAL
<br />ESTATE BUSINESS TRUST, a Delaware statutory trust ( "Licensee ").
<br />1. STATEMENT OF PURPOSE. The purpose of this License Agreement is to set
<br />forth the terms and conditions under which Licensee may construct, maintain, repair, and utilize
<br />the following described improvements, which will encroach upon the easement area (the
<br />"Easement Area ") of the Utility Easement ( "Utility Easement ") held by Licensor, which was
<br />created by the Plat of Menard Second Subdivision Doc. No. 95- 105477:
<br />Licensee shall have the right to construct, maintain, repair, replace and utilize
<br />storm sewer facilities, electric transformers, a curb inlet, and fire hydrants as
<br />shown on Exhibit A attached hereto (collectively, the "Improvements ") in the
<br />location of the Easement Area together with the rights of ingress and egress to and
<br />from the same, on, over, under and through the Easement Area as necessary to
<br />construct, maintain, repair, replace and utilize the Improvements.
<br />2. DESCRIPTION OF LICENSEE'S REAL ESTATE. The Licensee owns the
<br />following described real estate (the "Property ") upon which the Utility Easement is located and
<br />to which this Agreement shall apply:
<br />Lot Three (3), Menard Sixth Subdivision in the city of Grand Island, Hall County,
<br />Nebraska.
