<br /> <br /> <br /> <br /> <br />r <br /> <br />z n= <br /> <br />~ <br />~ <br />~ <br />~.. ~ <br />~~ <br />~~ ~ _ ~ c~i~ \ ~-- <br />te ~ -~-~ <br />- <br />~ rv m <br />N ~ ~ rn -'..' <br />r ~ ' <br />' <br />' C~ p <br /> = w ~ <br />~ ~ o C:t~ -''+ <br /> ~ GD Z <br />~ ~~ ~ ~ ~ ~ <br /> ~ o ~ C <br /> W ~ 1'1'I <br /> [I"1 <br /> ~ .... ~.. <br />~r~ CJ"t ~ CC7 Z <br />~~ ~ ~ <br /> (Trustee's Original) <br />FIRST ADDENDUM TO LEASE PURCHASE AGREEMENT <br />This First Addendum to Lease Purchase Agreement (the "Addendum") is dated as of the <br />first day of July, 2009 by and between the CENTRAL COMMUNITY COLLEGE AREA, in the <br />State of Nebraska ("College") and CENTRAL COMMUNITY COLLEGE FACILITIES <br />CORPORATION, a Nebraska nonprofit corporation (the "Corporation"). <br />rrF~rTar c <br />WHEREAS, the College and the Corporation have entered into aLease-Purchase <br />Agreement dated as of July 1, 2009 (the "Lease Purchase Agreement") relating to the <br />construction and acquisition of a health science education center addition which the College <br />proposes to lease and acquire for the benefit of the College; <br />WHEREAS, Corporation has entered into a Trust Indenture and Security Agreement <br />dated as of July 1, 2009 (the "Indenture") with Wells Fargo Bank, National Association, as <br />trustee (the "Trustee") under which the Corporation is issuing, on behalf of the College, the <br />Corporation's Building Bonds (Health Science Educatian Center Project), Series 2009A, in the <br />principal amount of Four Million Three Hundred Ten Thousand Dollars ($4,310,000) (the <br />"Bonds"); <br />WHEREAS, in connection with the issuance of the Bonds, it is necessary and advisable <br />for the College and the Corporation to set certain final terms of the Lease Purchase Agreement; <br />WHEREAS, the Lease Purchase Agreement provides for certain easement rights in favor <br />of the Corporation with respect to the real estate described in Exhibit "A" hereto attached and <br />this Addendum provides for the confirmation of such rights; <br />NOW THEREFORE, in consideration of the mutual covenants contained herein and of <br />the purchase of the Bonds by the original and subsequent purchasers of the Bonds, the parties do <br />hereby agree and contract as follows: <br />Section I. Amendment of Definitions of Terms. The definitions of terms set forth in <br />the recitals to the Lease Purchase Agreement are hereby amended and supplemented as follows: <br />~~ <br />~;. ~ <br />"Lease-Purchase Agreement" shall mean the Lease Purchase Agreement as <br />supplemented and amended by this Addendum. <br />
