200906254 <br />rooms and individual study areas and (c) related furniture, equipment and improvements as <br />constructed and acquired pursuant to the Lease-Purchase Agreement, including the <br />Corporation's interest in the real estate described on Exhibit "A" hereto attached. Said building <br />and related items are more particularly described on Exhibit "A" hereto. <br />"Project Manager" and/or "Alternate Project Manager" -the officers or employees of <br />the College designated to request disbursements from the Construction Fund and/or give <br />directions with respect to investments by resolution of the governing board of the College or <br />order of its President, as adopted or issued, as the case may be, from time to time. The names of <br />the initial Project Manager and Alternate Project Manager are shown on Exhibit A hereto <br />attached. <br />"Rebate Analyst" -any accountant or other recognized expert in the area of preparing <br />analyses with respect to liability for arbitrage rebate under Sectivn 148 of the Code. <br />"Underwriter" - Ameritas Investment Corp., in its capacity as original purchaser of the <br />2009A Bonds. <br />ARTICLE II <br />ISSUANCE AND EXECUTION OF BONDS <br />Section 1. 2009A Bonds in the aggregate principal amount of Four Million Three Hundred <br />Ten Thousand Dollars ($4,310,000) shall be issued by the Corporation as soon as practicable on or following <br />the date of execution of this Indenture and the net principal proceeds thereof shall be delivered to the Trustee <br />and deposited to the Construction Fund and applied to costs of the Project as provided in this Indenture. <br />Section 2.
