200905599 <br />c. Securi~. Lessee shall be solely responsible for the security of the Leased Premises <br />and for the security of Lessee's employees, agents, guests, and invitees an the Leased <br />Premises during Lessee's Possession Dates. Lessee shall be responsible to lock and <br />secure all doors, windows, and entrances to the Leased Premises and to take any <br />other reasonable security measures to protect persons and property upon the Leased <br />Premises during Lessee's Possession Dates. Notwithstanding the foregoing, in the <br />event Lessee consents to a Lessor's use of its portion of the Leased Premises during <br />Lessee's Fossession Dates, said Lessor shall be responsible for security of said <br />portion of the Leased Premises during the period of Lessor's use thereof. <br />d. Black-Out Period. In the event that a Lessor desires to book an event during the <br />period of Lessee's Fossession Dates prior to receiving notice from Lessee of the <br />Lessee's Possession Dates and the dates for the conduct of the Nebraska State Fair, <br />such Lessor shall request consent from Lessee for use of that portion of the Leased <br />Premises operated or managed by such Lessor by delivering written natice to Lessee <br />setting forth the dates and describing which portion(s) of the Leased Premises such <br />Lessor desires to use. Within fourteen (14) days of receipt of a request for use of a <br />portion of the Leased Fremises, Lessee shall approve or disapprove the same and <br />specify in detail the reasons for disapproval. In the event Lessee does nat disapprove <br />the requested use within such 14-day period, the request for such use shall be deemed <br />approved by Lessee. <br />S. Improvements. <br />a. Final Plans. The plans and specifications for all buildings, fixtures, irnpravements, <br />additions or alterations (the "Improvements") to be constructed on the Leased <br />Premises are attached hereto as Exhibit "E" and incorporated herein by this reference <br />(the "Final Plans"). Any modifications ar additions to the Final Plans shall be <br />approved by Former. The City hereby approves, in accordance with the terms of the <br />Management Contract and the City Agreement, that portion of the Improvements <br />which are located on the Event Center Property. That portion of the Improvements <br />which are to be located on the City Property (the "City Improvements") shall be made <br />the subject of a separate construction contract between Lessee, acting as agent for <br />Wells Fargo and the City, and such contractor as Lessee shall select. Within ten (10) <br />business days of receipt of the plans and specifications for any proposed modification <br />or addition to the Final Plans, Former and the City (with the City obtaining approval <br />from Wells Fargo), with respect to the City Improvements, shall approve ar <br />disapprove the same and specify in detail the reasons for disapproval. In the event <br />Former or the City (including the obtaining of approval from Wells Fargo) does not <br />disapprove of any modification ar addition within such 10-day period, such <br />modification or additional shall be deemed approved by For~xaer or the City, as the <br />case maybe. Within ten (10) business days of receipt of the plans and specifications <br />for any proposed modification or addition to the Final Plans, Event Center and the <br />City, with respect to any of the Improvements to be constructed on the Event Center <br />Property (the "Event Center Improvements") shall approve or disapprove the same <br />-7- <br />
