ti <br />200905599 <br />shall be responsible for all maintenance, repairs and replacements of the <br />Improvements on the Former Property during any Renewal Terms. In order to <br />exercise each such renewal option, Lessee must deliver written notice of its intent to <br />renew to Former and Event Center on or before July 1 of the calendar year prior to the <br />expiration of the then-current Term. The Initial Term and Renewal Terms, if any, <br />shall be referred to collectively herein as the "Term." In the event that the City does <br />not exercise its right to renew the City Ground Lease for the Renewal Terms set forth <br />herein, the City Property shall be deemed to be included in the definition of the <br />Fenner Property and Former shall be deemed to be the Lessor with respect to the City <br />Property for purposes of the Renewal Terms. <br />d. Quiet Enjoyment. <br />i. Event Center Property. Event Center covenants that it holds fee simple title <br />to the Event Center Property, subject to the beneficial rights of the Cityunder <br />the terms of the City Agreement, and has full power and authority to lease <br />and demise the same to Lessee under the terms of the Management Contract <br />on the terms and conditions set forth herein and that Lessee, upon <br />performance of all the covenants and conditions of this Lease, shall have the <br />quiet and undisturbed possession of the Leased Premises during the Term <br />hereof without any interruption by Event Center or any person claiming by, <br />under or through Event Center, subject to all of the provisions of this Lease. <br />ii. Former Property. Former covenants that it holds fee simple title to the Former <br />Property and has full power and authority to lease and demise the same to <br />Lessee on the terms and conditions set forth herein and that Lessee, upon <br />performance of all the covenants and conditions of this Lease, shall have the <br />quiet and undisturbed possession of the Leased Premises during the Term <br />hereof without any interruption by Former or any person claiming by, under <br />or through Former, subject to all of the provisions of this Lease. <br />iii. City Froperty. The City covenants that it, together with Wells Fargo, has a <br />valid ground lease interest in the City Property and has full power and <br />authority to lease and demise the same to Lessee under the terms of the City <br />Ground Lease and the Wells Fargo Agreement on the terms and conditions <br />set forth herein and that Lessee, upon performance of all the covenants and <br />conditions of this Lease, shall have the quiet and undisturbed possession of <br />the Leased Premises during the Term hereof without any interruption by the <br />City ar any person claiming by, under or through the City, subject to all of the <br />provisions of this Lease. <br />4. Lessee's Possession Dates. <br />a. Permitted Use.
