<br />the party of the first part, in consideration of the sum of
<br />One Dollar ($1.00) and other valuable consideration to it in
<br />hand paid by WACHOVIA BANK, N.A., the party of the second
<br />part, receipt whereof is hereby acknowledged, has granted,
<br />assigned and transferred, and, by these presents does grant,
<br />assign and transfer unto the said WACHOVIA BANK, N.A., its
<br />successors and assigns, the beneficial interest in a certain
<br />Deed of Trust wherein TMS Mortgage, Inc. dba The Money Store
<br />is Beneficiary, Victoria Guadalupe Lloyd, a single person,
<br />is Trustor and Stewart Title Guaranty Company is Trustee,
<br />which Deed of Trust was dated the 9th day of May, 1997 and
<br />recorded on the 19th day of May, 1997 as Instrument No. 97-
<br />103897 the mortgage records of Hall County, Nebraska which
<br />Deed of Trust was assigned by TMS Mortgage, Inc., dba The
<br />Money Store to The Bank of New York As Trustee Under The
<br />Pooling and Servicing Agreement dated as of May 31, 1997 -
<br />Series 1997 -B, said assignment dated the 15th day of May,
<br />1998 and recorded in the Office of Register of Deeds of Hall
<br />County, Nebraska on January 20, 1999 as Instrument No. 99-
<br />100663 of the mortgage records of said county and which Deed
<br />of Trust was assigned by The Bank of New York, as Trustee
<br />Under the Pooling and Servicing Agreement dated as of May
<br />31, 1997 - Series 1997 -B to TMS Mortgage Inc. d /b /a The
