200905358 <br />(i) Lessee will execute and deliver on the Closing Date a certificate <br />substantially in the form of Exhibit C hereto, and Lessee will cause its legal <br />counsel to provide a legal opinion to Lessor substantially in the form of Exhibit D <br />hereto, dated as of the Closing Date. <br />Section 2.2. Re resentatians Covenants and Warranties of Lessor. Lessor <br />represents, covenants and warrants as follows: <br />(a) Lessor is a limited liability company duly organized, existing and in <br />good standing; has power to enter into this Lease, the Ground Lease and the <br />Escrow Agreement; is possessed of full power to own and hold real and personal <br />property, and to lease the same; and has duly authorized the execution and <br />delivery of this Lease, the Ground Lease and the Escrow Agreement. <br />(b) Neither the execution and delivery of this Lease, the Ground Lease <br />and the Escrow Agreement, nor the fulfillment of or compliance with the terms <br />and conditions thereof, nor the consummation of the transactions contemplated <br />thereby, conflicts with or results in a breach of the terms, conditions or provisions <br />of any restriction or any agreement or instrument to which Lessor is now a party <br />or by which Lessor is bound, constitutes a default under any of the foregoing, or <br />results in the creation or imposition of any lien, charge or encumbrance <br />whatsoever upon any of the property or assets of Lessor, or upon the Project <br />except Permitted Encumbrances. <br />Section 2.3. Deposit of Funds. Upon execution and delivery of this Lease and the <br />Ground Lease, Lessor shall deposit the sum of $5,000,000 into escrow pursuant to the terms and <br />conditions of the Escrow Agreement which amount shall be disbursed by the Escrow Agent in <br />payment of the casts of the Improvements in accordance with this Lease and the Escrow <br />Agreement. $62,500 of the principal portion advanced under this Lease shall be retained by <br />Lessor as underwriting compensation with respect to the financing provided for under the terms <br />of this Lease. <br />6 <br />
