200905358 Permitted Encumbrances: As of any particular time: (i) liens for taxes and assessments not then delinquent, or which Lessee may, pursuant to provisions of Section 7.3 hereof, permit to remain unpaid, (ii) this Lease and the Ground Lease and amendments to either thereof, (iii) Lessor's interest in the Project, (iv) any construction, mechanic's, laborer's, materialmen's, supplier's or vendor's lien or right not filed or perfected in the manner prescribed by law which Lessee may, pursuant to Article VIII hereof, permit to remain unpaid; and (v) the Fair Board Lease (which by its express terms is subordinate to this Lease and which Lessor hereby expressly approves). Princit~al: The portion of any Rental Payment designated as principal in the attached Exhibit B. Project: The interest of Lessor in the Land under the Ground Lease and the Improvements. Purchase O tion Price: With respect to the Project, as of the Payment Dates specified in the attached Exhibit B, the amount so designated and set forth opposite such date. Rental Payment(s): The payment due from Lessee to Lessor on each Payment Date during the Terrn of this Lease, as shown on Exhibit B. The term Rental Payments refers to some or all of the multiple payments due from Lessee to Lessor during the term of this Lease. State: The State of Nebraska. State and Federal Law or Laws: The Constitution and any law of the State and any rule or regulation of any agency or political subdivision of the State; and any law of the United States, and any rule or regulation of any federal agency. Term of this Lease or Lease Term: The period during which this Lease is in effect as specified in Section 4.1. Certain other terms used in this Lease are defined in parentheses elsewhere in this Lease. Section 1.2. Exhibits. The following Exhibits are attached to and by reference made a part of this Lease: Exhibit A: A description of the Land and Improvements subject to this Lease. Exhibit B: A schedule indicating the date and amount of each Rental Payment coming due during the Lease Term, the amount of each Rental Payment comprising Principal and Interest, and the price at which Lessee may exercise its option to purchase Lessor's interest in the Project in accordance with Article X.
