200905357 <br />GROUND LEASE <br />THIS GROUND LEASE ("Lease") is made and entered into July 1, 2009, by and between <br />HALL COUNTY LIVESTOCK Il~IPROVEIVIENT ASSQCIATION, a Nebraska nonprofit <br />corporation ("Former Park"); WELLS FARGO BROKERAGE SERVICES, L.L.C. (Wells Fargo}; <br />and CITY OF GRAND ISLAND, NEBRASKA, a city of the first class of tlxe State of Nebraska <br />("City); <br />WHEREAS, the Gity and Fanner Park have determined that Wells Fargo and the City <br />should have title to a multi-purpose recreational exposition building and associated infrastructure <br />improvements (the 'Building"); and <br />WHEREAS, the City and Wells Fargo Brokerage Services, LLC ("Wells Fargo") have <br />entered into a Lease Purchase Agreement dated July 1, 2009 ("Lease Purchase Agreement") <br />regarding the Building. <br />NOW, THEREFORE, for good and valuable consideration, receipt of which is hereby <br />acknowledged, the parties do hereby agree and contract as follows: <br />1. Certain DeflrJ~ ens. For purposes of this Lease, the following terms are defnled: <br />(a) "Leased Premises" shall mean that certain Heal property located in Hall County, <br />Nebraska, which has been identified by Former Park based upon the glans and specifications <br />approved and provided by the Nebraska State Fair Boazd. The Leased. Premises are deemed by the <br />parties hereto to be suitable to construct the Building and are located outside the restricted security <br />envelope required of Fanner by the State Racing Commission, so as to be usable throughout each <br />yeaz. The location of the Leased Premises are generally shown on Exhibit "A" attached hereto and <br />made a part hereof, which shall be located within the property legally described on attached Exhibit <br />"C". As part of this Lease, Wells Fargo and the City are hereby granted during the term of the <br />Lease proper ingress and egress on, over and across the land of Former Pazk for access and suitable <br />parking, as is necessary for proper utilization of the Building. Such land of Former Park is defined <br />in Exhibit'B" hereto attached and incorporated herein. <br />(b) "Building" shall mean the building, structures, fixtures and improvements <br />constructed or installed upon the Leased Premises and related infrastructure improvements serving <br />the Building. <br />Certain other defined terms shall have the respective meanings assigned to them elsewhere in this <br />Lease. <br />2. Demise and Term. Fonmer Park hereby leases and rents to Wells Fazgo and the <br />City, and Wells Fargo and the City hereby lease and rent from Former Park, the Leased Premises for <br />the period commencing with the date of delivery hereof and ending on December 31, 2060 (the <br />"Term"). Thereafter, the Tenn shall automatically continue for five (5) year successive terrors unless <br />terminated by either party upon ninety (90) days written notice prior tv the end of the expiring term. <br />The leasehold interest of Wells Fargo hereunder shall be assigned and transferred in full to City <br />
