<br />DEED IN LIEU OF FORECLOSURE 
<br />KNOW ALL MEN BY THESE PRESENTS: 
<br />That WILLIAM D. NEATER and E. LEE NEATER, husband and wife, 
<br />hereinafter referred to as "GRANTORS ", for good and valuable /o, So 
<br />consideration, do hereby grant, bargain, sell and convey and 
<br />confirm unto MARK FOREMAN and LOA FOREMAN, TRUSTEES OF THE FOREMAN 
<br />TRUST, hereinafter referred to as "GRANTEES ", the following 
<br />described real property in Hall County, Nebraska, to -wit: 
<br />The Northwest Quarter of the Northwest Quarter (NW1 /4 
<br />NW1 /4) and Lots One (1) and Two (2), lying South of 
<br />Interstate Highway 80, All in Section Nine (9), Township 
<br />Nine (9) North, Range Eleven (11) West of the 6th P.M., 
<br />Hall County, Nebraska, excepting a certain tract deeded 
<br />to the State of Nebraska recorded in Book 136, Page 541; 
<br />excepting a certain tract deeded to the State of Nebraska 
<br />recorded in Book 137, Page 317; excepting a certain tract 
<br />deeded to Larry D. Woitaszewski recorded as Document No. 
<br />88- 106922. 
<br />TO HAVE AND TO HOLD the above described premises, together 
<br />with all tenements, hereditaments, and appurtenances thereunto 
<br />belonging to the GRANTEES, and to their heirs, devisees, personal 
<br />representatives, successors and assigns forever. 
<br />GRANTORS do hereby covenant with the GRANTEES and GRANTEES' 
<br />heirs, devisees, personal representatives, successors and assigns 
<br />that GRANTORS are: 
<br />(a) lawfully seized of said premises; 
<br />(b) that said premises are free and clear of all encumbrances 
<br />except a Deed of Trust dated October 30, 1998, and recorded 
<br />November 9, 1998, as Document No. 98- 111002 in the office of the 
<br />Register of Deeds, Hall County, Nebraska, in favor of MARK FOREMAN' 
<br />and LOA FOREMAN, TRUSTEES OF THE FOREMAN TRUST, as Beneficiary, and 
<br />easements, covenants and restrictions of record; 
<br />(c) that said premises are further free from liens for unpaid 
<br />real estate taxes except for the year 2004 in the sum of $1,356.40; 
<br />(d) that no unpaid debts for fixtures, building products, 
<br />labor, or materials used in the construction or any improvements to 
<br />the above described property currently exists, and that GRANTORS 
<br />will save and indemnify the GRANTEES harmless from any claim 
<br />arising by virtue of any labor or materials used in the 
<br />construction or remodeling or improvements done to the premises. 
<br />The GRANTORS further warrant that they have good right and 
<br />lawful authority to convey the above - described premises and that 
<br />GRANTORS will warrant and defend the title to said premises against 
<br />the lawful claims of all persons whomsoever. 
<br />This Deed is intended as an absolute conveyance of title in 
<br />effect as well as in form, and is not intended as a mortgage, trust 
<br />conveyance, or security of any kind. The consideration for this 
<br />Deed is the full release and discharge of the debt arising on 
<br />
