<br />-- - ASSIGNMENT OF PARTNERSHIP INTEREST ~
<br />D & D INVESTMENTS
<br />THIS ASSIGNMENT OF PARTNERSHIP INTEREST, is made from David L. Starostka
<br />("Assignor") to Starostka Rentals, LLC, a Nebraska limited liability company ("Assignee").
<br />WITNESSETH:
<br />WHEREAS, Assignor is the owner of a fifty percent (50%) interest (the "Partnership Interest")
<br />in D & D Investments, a Nebraska general partnership (the "Partnership");
<br />WHEREAS, the Partnership's assets include the real estate identified on the attached
<br />Exhibit "A" (the "Real Estate") which is currently standing in the Partnership's name on the books
<br />and records of the county in which such Real Estate is located;
<br />WHEREAS, the Assignor desires to assign, transfer, and convey to Assignee all of his
<br />Partnership Interest in the Partnership;
<br />WHEREAS, concurrent with this Assignment, the other fifty percent (50%) owner of
<br />Partnership is assigning all of his interest in Partnership to Assignee by virtue of a separate
<br />assignment;
<br />WHEREAS, by virtue of this Assignment and the assignment referenced in the preceding
<br />recital, ownership of the Partnership will be consolidated into a single owner, the Partnership will
<br />thereby cease to exist by operation of law, and Assignee shall succeed to all of Partnership's right,
<br />title and interest in and to Partnership's assets, including the Real Estate.
<br />NOW, THEREFORE, for valuable consideration, effective July 31, 2006, the undersigned
<br />hereby assigns, transfers and conveys in and to Assignee his Partnership Interest in the Partnership.
<br />By its signature on this document, Assignee hereby accepts such assignment.
<br />IN WITNESS WHEREOF, Assignor and Assignee have caused this Assignment of
<br />Partnership Interest to be duly executed effective as of July 31, 2006.
