<br />200902983 <br /> <br />sufficiency of which are acknowledged, SMEP LLC, SGLP LLC and Administrative Agent <br />hereby agree as follows: <br /> <br />1. Joinder of SGLP LLC. SGLP LLC hereby joins in the Security <br />Instrument as if it were originally a Mortgagor thereunder, agrees to be bound by all of the duties <br />and obligations of the Mortgagor under the Security Instrument, and hereby agrees that all <br />references in the Security Instrument to "Mortgagor" shall include SGLP LLC. <br /> <br />2. Grant of Security Interest. In confirmation of SGLP LLC's joinder as a <br />"Mortgagor" under the Security Instrument, SGLP LLC hereby grants to Administrative Agent <br />for the benefit of Administrative Agent, LlC Issuer and Lenders, a security interest in the entire <br />interest of SGLP LLC (whether now owned or hereafter acquired by operation of Law or <br />otherwise), in and to the Property, including the Asphalt Transferred Assets. <br /> <br />3. Reaffirmation by SMEP LLC. SMEP LLC hereby reaffirms its <br />obligations as a "Mortgagor" under the Security Instrument. <br /> <br />4. Capitalized Terms. All capitalized terms used in this Amendment which <br />are not specifically defined herein shall have the respective meanings set forth in the Security <br />Instrument. <br /> <br />5. Full Force and Effect. Except as expressly modified by this Amendment, <br />the parties hereto agree that all terms and conditions of the Security Instrument shall continue in <br />full force and effect. <br /> <br />6. Counterparts.
