<br />200902982 <br /> <br />PREPARED BY AND <br />WHEN RECORDED, RETURN TO: <br /> <br />RETURN TO: Dawn Reynolds <br />Lawyers Title Insurance <br />Corporation <br />7130 Glen Forest Drive <br />Richmond, Y A ~3~26_ <br /> <br />ASSIGNMENT AND ASSUMPTION OF <br />LEASEHOLD INTERESTS <br /> <br />THIS ASSIGNMENT AND ASSUMPTION OF LEASEHOLD INTERESTS <br />("Assignment") is dated the ~ day of April, 2009, but effective as of March 31, 2009 (the <br />"Effective Date"), by and between SemMaterials, L.P., an Oklahoma limited partnership <br />("Assignor") and SemMaterials Energy Partners, L.L.C., a Delaware limited liability company <br />("Assignee"). <br /> <br />For and in consideration ofthe sum of Ten Dollars ($10.00) and other good and valuable <br />consideration, the receipt and sufficiency of which are hereby acknowledged, Assignor hereby <br />GRANTS, TRANSFERS, CONVEYS and ASSIGNS to Assignee the following (the "Retained <br />Leasehold Interest"): <br /> <br />All of Assignor's right, title and interest in and to that certain tract of land <br />described on Exhibit A attached hereto and made a part hereof (the "Retained <br />Leasehold Tract"), as retained under that certain Retained Leasehold Interest <br />Agreement, between Assignor and Assignee, dated February 19, 2008, recorded <br />in the Official Records of Hall County, Nebraska, under Instrument No. <br />0200806504 (the "Retained Leasehold Agreement") <br /> <br />This Assignment is subject to the following terms and conditions: <br /> <br />1. Assumption of Oblieations: From and after the Effective Date, Assignee, with respect to <br />the assignment of the Retained Leasehold Agreement, hereby assumes and agrees to pay <br />and perform all Assignor's rights, obligations and liabilities accruing from and after the <br />Effective Date and arising out of the Retained Leasehold Agreement. <br /> <br />2. No Further Riehts: From and after the date hereof, Assignor shall have no further right, <br />title or interest in the Retained Leasehold Interest, including, without limitation, the <br />Retained Leasehold Tract and the Retained Processing Assets. <br /> <br />3.
