<br />WHEREAS, G & T TRADING COMPANY, a Minnesota corporation
<br />(hereinafter "Grantee") has. been conveyed certain real estate
<br />described on Exhibit "A" attached hereto and made apart hereof
<br />`y this reference (heriiafter "Subject Property") by Grand Island
<br />Ma1Z, Ltd., a Nebraska limited partnership (herinafter {"Grantor")
<br />by Warranty Deed dated April 8, 1982, and recorded as Document
<br />Number 4'~ - ~1 ~, / ~ S of the ~ ~ E d Records of
<br />Hall County, FTe ram,
<br />WHEREAS, in addition to the Subject Pzoperty, Grantor has
<br />conveyed to Grantee by said Warranty Deed perpetual non-exclusive
<br />easements for ingress and egress over, upon and across the parking
<br />areas., driveways, exits and entrances of the shopping center owned
<br />try Grantor described an Exhibit "B" attached hereto and made a
<br />part hereof by this reference (hereinafter "Easement Property");
<br />specifically, the driveway and curb cut adjacent to the southerly
<br />property lice of the Stebject Property as they presently exist,
<br />and ,
<br />WHEREAS, ASSET MANAGEMENT CORP., a New Jersey corporation,
<br />whose address is 25 East Salem Street, Hackensack, New .jersey
<br />076€}2 (hereinafter "Mortgagee") holds a mortgage on said Easement
<br />Property to secure the sun of $3,375,000.00, which mortgage, dated
<br />September 15, 1980, was executed by Grand Island Mali, Ltd., a
<br />Nebraska limited partnership, whose address is 2208 North Webb
<br />Road, Grand Island, Nebraska 68801, and recorded the 14th day of
<br />September, 1980, as Document Number 80-OOSI86 of the Mortgage
<br />Records of Hail County, Nebraska, and,
<br />WHEREAS, Grantee is requesting that mortgagee not interfere
<br />with, disturb or deny any of Grantee°s, its successors' or assigns'
<br />rights or pr?vileges as contained in said karranty Deed.
<br />NOW„ THEREFORE, for good and valuable considerations, the
<br />undersigned Mortgagee agrees as follows:
<br />1. Mortgagee does hereby covenant and agree that it, its
<br />successors and assigns, shall not interfere with, disturb or deny
<br />any of Grantee's, its successors'or assigns', rights or privileges
<br />as contained in said Warranty Deed.
<br />IN TNESS WHERE the Mortgagee has executed this Consent
