<br />UNILATERAL SUBORDINATION AGREEMENT

<br />WHEREAS, the parties to this agreement are the old lender, namely The Platte
<br />Valley State Bank & Trust Company hereinafter called LENDER #1; and the new lender,
<br />namely First National Bank of Omaha, its Successors and/or Assigns, hereinafter called
<br />LENDER #2 and JERALD W WILSON AND BETH E WILSON, as husband and wife,

<br />PROPERTY, recorded on as Inst. No, 200709156 DATED OCTOBER 26,2007 in the
<br />office ofthe Register of Deeds of Hall County, Nebraska,

<br />WHEREAS, BORROWER will be executing or has executed a Note in a
<br />principal amount not to exceed $93,475,00 to be secured by a Mortgage/Deed of Trust in
