<br />Company, in consideration of issuance of membership interest in Grantee, receipt of which is
<br />hereby acknowledged, conveys to Grantee, SOUTH POINTE DEVELOPMENT, L.L,C. a
<br />Nebraska Limited Liability Company, the following described real estate in Hall County, Nebraska:

<br />A tract of land located in Section Twenty-seven (27), Township Eleven (11) North,
<br />Range Nine (9) West of the 6th P.M., Hall County, Nebraska, commencing at a point
<br />which is 525 feet North and 33 feet East of the quarter section comer between
<br />Sections Twenty-seven (27) and Twenty-eight (28) in Township Eleven (11) North,
<br />Range Nine (9) West of the 6th P.M., running thence North 100 feet along a line
<br />parallel to and 33 feet East of the Section line between Sections Twenty-seven (27)
<br />and Twenty-eight (28), thence Easterly at right angles a distance of 361.5 feet,
<br />thence Southerly at right angles a distance of 247.5 feet; thence Westerly at right
<br />angles to the Southeasterly corner of the tract conveyed by the grantor therein
<br />named on the 6th day of May, 1930, to R. 1. Merrick, which deed is recorded at Page
<br />627, in Book 69, from Deed Records in the Office of Register of Deeds, Hall
<br />County, Nebraska, thence Northerly along East line of said tract so conveyed to said
<br />Merrick to the North-easterly corner thereof, thence Westerly along the Northerly
<br />line of said tract so conveyed by grantor to the said Merrick to the place of
<br />beginning, excepting a tract of land to the City of Grand Island, Nebraska, more
<br />particularly described in Deed recorded as Document No. 200008052.

<br />together with all tenements, hereditaments, and appurtenances to the same belonging, and all the
<br />estate, title, interest, claim or demand whatsoever of said Grantor, of, in or to the same, or any part
<br />thereof; subject to easements and restrictions of record.

<br />Grantor covenants with the Grantees that Grantor:

<br />(1) is lawfully seized of such real estate and that it is free from encwnbrances subject to
<br />easements, reservations, covenants and restrictions of record;
<br />
<br />(2) has legal power and lawful authority to convey the same;
<br />
<br />(3) warrants and will defend the title to the real estate against the lawful claims of all
<br />persons.
