<br />SUBSTITUTION OF TRUSTEE, REQUEST FOR RECONVEYANCE AND DEED OF 't-=

<br />HOCH, INC., d/b/a H&H Distributing, a Nebraska corporation ("Trustor"), as
<br />original Trustor, granted to FIRST AMERICAN TITLE INSURANCE COMPANY, as
<br />original trustee ("Trustee"), for the benefit of GE CAPITAL FRANCHISE FINANCE
<br />CORPORATION, a Delaware corporation ("Lender"), as original beneficiary, a lien upon
<br />that certain parcel of real property legally described in Exhibit A attached hereto, together
<br />with all buildings, fixtures, improvements and appurtenances belonging to such real
<br />property (collectively, the "Property"), pursuant to that certain Deed of Trust with
<br />Uniform Commercial Code Security Agreement and with Assignment of Leases, Rents
<br />and Profits, filed for record on January 23, 2006, in the Office of the Register of Deeds
<br />of Hall County, Nebraska as Instrument No. 0200600597 ("Deed of Trust"). All of the
<br />indebtedness and obligations secured by the Deed of Trust has been paid in full, and
<br />Beneficiary, substitutes Lawyers Title Insurance Corporation, ("Lawyers"), as Trustee in
<br />lieu of the Trustee therein in the Deed of Trust, and has requested and directed Trustee
<br />in writing as set forth herein below to execute and deliver this Deed of Reconveyance
<br />(this "Deed of Reconveyance").
<br />
<br />NOW, THEREFORE, in consideration of the payment in full of the indebtedness
<br />and obligations secured by the Deed of Trust, and in accordance with the request below
<br />of Beneficiary pursuant to the Deed of Trust, Trustee does by these presents, grant,
<br />remise, release and reconvey to the person or persons entitled thereto all the interest
<br />and estate in the Property conveyed to Trustee by and through the Deed of Trust.
<br />
<br />This Deed of Reconveyance does not release the right, title, interest and estate
<br />held by Lender as Beneficiary in any other property encumbered by any other deeds of
<br />trust, mortgages, deeds to secure debt, or assignment of rents and leases executed by
<br />Trustor in favor of Lender and does not affect in any way the indebtedness secured
<br />thereby nor the liability of any party for the payment thereof or the continued validity of
<br />any other collateral given to secure said indebtedness, but releases only the lien of the
<br />Deed of Trust upon the Property.
