Scully, as President of General Agricultural Services LLC and as Co-Trustee ofthe 1999 Robin F. Scully Trust which is the sole member of General Agricultural Services LLC, a Delaware limited liability company, duly sworn, states: 1. Affiant is the Co-Trustee of the 1999 Robin F. Scully Trust which is the sole member of General Agricultural Services LLC 2. Prior to October 1, 2008, General Agricultural Services, Ltd. was a Nebraska limited partnership whose partners were Western Agricultural Resources, Co., a Nebraska corporation and Front Range Company, a Delaware Corporation. As of such date, Western Agricultural Resources, Co., was merged into Front Range Company as reflected in the copy of the Articles of Merger filed with the Secretary of State of Nebraska and Certificate of Merger filed with the Secretary of State of Delaware as effective on September 30, 2008 both of which are attached hereto as Exhibit "A" and by this reference incorporated herein. 3. By operation of law the merger of the only two partners of General Agricultural Services, Ltd., resulted in the dissolution ofthat partnership and all assets became the property of the sole remaining partner. Such assets included the real estate located in Hall County, Nebraska, described as follows: The Northeast Quarter (NE 1/4) of Section Fourteen (14), Township Nine (9) North, Range Ten (10) West of the 6th P.M., Hall County, Nebraska 4. Also effective on October 1, 2008, Front Range Company, executed a Certificate of Conversion under Delaware law to convert Front Range Company from a Delaware corporation to a Delaware limited liability company and at the same time through a Certificate of Formation to change its name to General Agricultural Services LLC as reflected on Exhibit "C" attached hereto and incorporated herein. 5. As a result of these transactions all of the real estate identified on Exhibit B is now legally owned in fee simple by General Agricultural Services LLC, a Delaware limited liability company.
