<br />84 - 005449 <br /> <br />MEMORANDUM OF LEASE AGREEMENT <br /> <br />r <br /> <br />MEMORANDUM OF LEASE AGREEMENT, dated as of October 1, <br />1984, by and between THE COUNTY OF HALL, NEBRASKA ("Lessor"), a <br />body politic and corporate duly organized and existing as a <br />county under the laws of the State of Nebraska, and WILBETH, INC. <br />("Lessee"), a Nebraska partnership, <br /> <br />~ l 1'. ~ ~ ~ ~ ~ 1: .!!: <br /> <br />In consideration of the benefits inuring to each of <br />them, the sufficiency and receipt of ~l1hich are hereby mutually <br />acknowledged, Lessor has leased and does hereby demise and lease <br />to Lessee, and Lessee has leased and does hereby hire and lease <br />from Lessor, for the rental and upon the terms, conditions and <br />provisions more particularly set forth in a certain Lease <br />Agreement made between Lessor and Lessee bearing even date <br />herewith (hereinafter sometimes called the "Lease") , the <br />following property: (a) that certain real property located in <br />Hall County, Nebraska (the "f'''?mises''), more particularly <br />described in Exhibit "A" attach"; .c_ereto a'"d incorporated herein <br />by this refere~ce; ar.d (bi all structures, buildings and <br />improvements of every kind and description now- or at any time <br />located upon the Premises (the "Improvements"). <br /> <br />The Premises and the Improvements, togAther with all <br />tenements, hereditaments, appurtenances, righ~s, privileges and <br />immunities thereunto belonging or appertaining (being in the <br />Lease and hereinafter called the "Project") are subject to <br />certain general real estate taxes and other matters of record, as <br />set forth in the Lease. <br /> <br />Lessee is to have and to hold the Project, with the <br />options, rights, privileges and appurtenances thereunto <br />belonging, including, without limitation, certain options and <br />obligations to purchase the Project granted and assumed in the <br />Lease and hereby granted and assumed, for and during a term <br />commencing as of October I, 1984, and terminating on October 1, <br />1999, unless such term shall be sooner terminated as provided in <br />the Lease, upon and subject to all of the options, rights, terms, <br />condi tions, obligations and provisions including, wi thout <br />limitation thereby, the obligation of Lessee to pay t.lle Basic <br />Rent, Additional Rent and all other monies to be paid by Lessee <br />more particularly set forth in the Lease, which is deemed <br />incorporated herein by reference with the same force and effect <br />as though fully set forth herein. <br /> <br />The purposes of this Memorandum of Lease Agreement are <br />to give notice of the existence of the Lease, the leasehold <br />estate created thereby and the rights, options and privileges <br /> <br />u <br /> <br />L <br /> <br />-.J <br /> <br />L <br />
