84 - 005449 MEMORANDUM OF LEASE AGREEMENT r MEMORANDUM OF LEASE AGREEMENT, dated as of October 1, 1984, by and between THE COUNTY OF HALL, NEBRASKA ("Lessor"), a body politic and corporate duly organized and existing as a county under the laws of the State of Nebraska, and WILBETH, INC. ("Lessee"), a Nebraska partnership, ~ l 1'. ~ ~ ~ ~ ~ 1: .!!: In consideration of the benefits inuring to each of them, the sufficiency and receipt of ~l1hich are hereby mutually acknowledged, Lessor has leased and does hereby demise and lease to Lessee, and Lessee has leased and does hereby hire and lease from Lessor, for the rental and upon the terms, conditions and provisions more particularly set forth in a certain Lease Agreement made between Lessor and Lessee bearing even date herewith (hereinafter sometimes called the "Lease") , the following property: (a) that certain real property located in Hall County, Nebraska (the "f'''?mises''), more particularly described in Exhibit "A" attach"; .c_ereto a'"d incorporated herein by this refere~ce; ar.d (bi all structures, buildings and improvements of every kind and description now- or at any time located upon the Premises (the "Improvements"). The Premises and the Improvements, togAther with all tenements, hereditaments, appurtenances, righ~s, privileges and immunities thereunto belonging or appertaining (being in the Lease and hereinafter called the "Project") are subject to certain general real estate taxes and other matters of record, as set forth in the Lease. Lessee is to have and to hold the Project, with the options, rights, privileges and appurtenances thereunto belonging, including, without limitation, certain options and obligations to purchase the Project granted and assumed in the Lease and hereby granted and assumed, for and during a term commencing as of October I, 1984, and terminating on October 1, 1999, unless such term shall be sooner terminated as provided in the Lease, upon and subject to all of the options, rights, terms, condi tions, obligations and provisions including, wi thout limitation thereby, the obligation of Lessee to pay t.lle Basic Rent, Additional Rent and all other monies to be paid by Lessee more particularly set forth in the Lease, which is deemed incorporated herein by reference with the same force and effect as though fully set forth herein.
