<br />84- 005448 <br /> <br />required, such prepayment premium shall become due in addit:ion to <br />all other amounts due under the Bond. <br /> <br />Section 7.04 <br /> <br />Defeasance. <br /> <br /> <br />If the Issuer shall well and truly payor cause to be <br />paid to the Bondholder the principal of, the premiums, penalty, <br />if any, and each and every installment of interest on the Bond as <br />and when the same shall become due and payable under the terms <br />thereof, and shall well and truly keep and perform all and <br />singular the several covenants and agreements hereinabove set <br />forth and the Bond shall have been paid in full, then this <br />mortgage shall cease. <br /> <br />Section 7.05 <br /> <br />Delegation and Assignment. <br /> <br />The parties agree that under the terms of the Lease, <br />and under the terms of this Mortgage and the Assignment of Rents, <br />the Issuer has delegated certain of its duties to the Company and <br />has assigned certain of its rights to the Bondholder. The fact <br />of such delegation shall be deemed sufficient compliance by the <br />Issuer to satisfy the duties so delegated, and the Issuer shall <br />not be liable in any way by reason of acts done or omitted by the <br />Company, the Bondholder or any of th'e' r employees or agents. The <br />Issuer shall have the right at 3}' _i~es to &~t in reliance upon <br />the authorization, repre~entation ~r certification of the Company <br />or the Bondholder. <br /> <br />Section 7.06 <br /> <br />Supplements or Amendments. <br /> <br />This Mortgage may not be supplemented or amended except <br />by written agreement between the Bondholder and the Issuer1 <br />provided, however, that any such supplement or amendment which <br />adversely affect the rights of the Company under the Lease or <br />this Mortgage, and so long as the Lease is in effect, shall not <br />become effective unless and until the Company shall have <br />consented to the execution and delivery of such supplement or <br />amendment. <br /> <br />Covenants of Issuer to Bind Successors <br />and Assigns. <br /> <br />.1\11 the covenants, stipulations, promises and agree- <br />ments in this Mortgage contained by or in behalf of the Issuer <br />shail bind and inure to the benefit of its successors and <br />assigns, whether so expressed or not. <br /> <br />Section 7.07 <br /> <br />Section 7.08 <br /> <br />Immunity of Officers. <br /> <br />No recourse for the payment of any part of the <br />principal, premium, ~ f any, or interest on the Bond or for the <br />satisfaction of any liability arising from, founded upon or <br />existing by reason of the issue, purchase or ownership of the <br />Bond shall be had against any officer, member or agent of the <br /> <br />-27- <br /> <br />u <br /> <br />L <br /> <br />.-J <br /> <br />L <br />
