<br />84- 005071 <br /> <br /> <br />GIM and CM wish to ensure that CM and its successors and <br /> <br />assigns, for so long as the Mortgage remains outstanding and <br /> <br />unsatisfied, will continue to have, access to the Unreleased <br /> <br />Portion across the Released Portion. <br /> <br />NOW, THEREFORE, the parties agree as follows: <br />1. For and in consideration of $10.00 and <br /> <br />and valuable consideration, CM hereby grants to GIM, <br /> <br />cessors and assigns forever, to the extent of CM's interest <br /> <br />therein, and subject to the construction being built and to <br /> <br />built on the Released Portion, (a) a non~exclusive perpetual_ ap~ <br /> <br />pur tenant easement across the Unreleased Portion for the bene- <br /> <br />~-~ +- of the Released Portion fc;r the pu~pu5e of access DY a-p.y <br /> <br />and all parties to the Released :r ci~un, (b) :.. non-exclusive <br /> <br />perpetual appurtenant easement for GIM and its tenants, licen- <br /> <br />sees, invitees, customers and agents for access, ingress and <br /> <br />egress to and from parking areas on the Released Portion and (e) <br /> <br />such temporary construction easements as are necessary for pur- <br /> <br />poses of constructing the improvements and parking facilities <br /> <br />and installing utilities to be located on the Released Portion. <br /> <br />2. For and in consideration of $10.00 and other good <br /> <br />and valuable consideration, GIM hereby grants to CM, its succes- <br /> <br />sors and assigns, for so long as the Mortgage remains outstand- <br /> <br />ing and unsatisfied, and subject to the construction being built <br /> <br />and to be built on the Released Portion, a non-exclusive ap- <br /> <br />purtenant easement across the Released Portion for the benefit <br /> <br />of the Unreleased Portion for the purpose of access by CM, its <br /> <br />successors, assigns and their designated representatives to the <br /> <br />Unreleased Portion. <br /> <br />3. The easements set forth above are for the benefit <br /> <br />of eM and GIM and for the benefit of the tenants, licensees, in- <br /> <br />vitees, customers, agents and employees of GIM. <br /> <br />~ <br />-," <br />
