<br />That CM ASSOCIATES, a Nebraska general partnership

<br />having an office at 2228 North Webb Road, Grand Island,
<br />
<br />Nebraska 68801 ("Mortoagee"), in consideration of TEN DOLLARS

<br />(SlO.OOl in hand paid by GRAND ISLAND MALL, LTD., a Nebraska
<br />
<br />limited partnership having an office at 2228 North Webb Road,
<br />
<br />Grand Island, Nebraska 68801 ("Mortgagor"), and other ~ood and

<br />valuable consideration, receipt of which is hereby acknowl-
<br />
<br />edged, hereby agrees as follows:

<br />1. Mortgagee is the holder of that cert~in note

<br />dated as of September 1, 1980, mad~ by Mortgagor to the order,

<br />of Mortgagee, in the original principal amount of ONE MILLION
<br />
<br />DOLLARS ($1,000,000.00), which note is secured by a Third
<br />
<br />Mortgage ("Mort'jaoe"j dated as of September 1, 1980, by and
<br />
<br />between Mortgagor and Mortgagee, covering the premises (the
<br />
<br />"Premises") more particularly described on Exhibit A annexed
<br />
<br />hereto, which Mortgage was recorded September 19, 1980 as
<br />
<br />Document ~80-00S189 ~n the Mortgage Records of Hall County,
<br />
<br />Nebraska;

<br />2. By Partial Release of Mortgages dated as of
