Boyd, 301 NW 17th Street, Abilene, Kansas 67410 Successor Trustee of the Dale L. Mettenbrink and 10sie A. Mettenbrink Trust dated September 5, 1991 as amended August 8, 1992, pursuant to Section 30-38,103 of the Revised Statutes of the State of Nebraska, hereby certifies as follows: (a) Dale L. Mettenbrink and 10sie A. Mettenbrink created the Dale L. Mettenbrink and 10sie A. Mettenbrink 10int Revocable Trust under Agreement dated September 5, 1991 as amended August 8, 1992 (the "Trust Agreement") and were designated as the initial Co-Trustees of said Trust and served in that capacity until the death of Josie A. Mettenbrink; - <:::::> r: \J'- " 0 (b) Josie A. Mettenbrink died on May 3, 1998. (c) Pursuant to ARTICLE II, Paragraph E. of the Trust Agreement, upon the death of Josie A. Mettenbrink, the undersigned became the first successor Co-Trustee serving as the Co- Trustee with Dale L. Mettenbrink until his death; (d) Upon the death of Josie A. Mettenbrink the Trust Agreement became irrevocable and pursuant to ARTICLE IV and ARTICLE V two separate trusts were created and funded, namely the Marital Deduction Trust and the ByPass Trust, respectively, wherein the undersigned and Dale L. Mettenbrink served as Co-Trustees; (e) Upon the death of Josie A. Mettenbrink and pursuant to the tenns of the Trust Agreement, the undersigned and Dale L. Mettenbrink as Co-Trustees allocated selected assets to fund the ByPass Trust which assets included the following described real estate, to-wit: Lot 18, Saddle Club Subdivision, Hall County, Nebraska; (1) Dale L. Mettenbrink died on April 2, 2008; (g) Pursuant to ARTICLE II, Paragraph E. of the Trust Agreement, upon the death of Dale L. Mettenbrink, the undersigned acceded to the duties as sole Successor Trustee of both the Marital Deduction Trust and ByPass Trust and is currently serving as sole Successor Trustee of both Trusts created pursuant to the Trust Agreement; (h) The undersigned as Successor Trustee has full power of sale as to any real estate held in the ByPass Trust created pursuant to ARTICLE V of the Trust Agreement and there are no restrictions imposed upon the undersigned as sole Successor Trustee in dealing with the assets of the Trust;
