83--~1ot~~c~ MEMORANDUM OF LEASE This Memorandum of Lease made and entered into as of the 1~ day of October, 1982, by and between BELS, a Nebraska general partnership ("Landlord"} and CORNHUSKER MOTOR CLUB, a Nebraska not-for-profit corporation ("Tenant"}. 1. Landlord has entered into a Lease Agreement with Tenant dated ~~n L$" 1982 ("Lease Agreement") coverin certain store premises comprised of approximately 3,240 square feet ("Leased Premises") situated within a shopping center known as Gateway Plaza located in Grand Island, Nebrasl~a and more particularly described as Lots 1 through 8, inclusive in Bels Subdivision, an Addition to the City of Grand Island, Hall County, Nebraska ("Shopping Center"). 2. The Lease Agreement has a primary term of ten (10) years commencing on October 15, 1982, and terminating at 11:59 p.m. on October 14, 1992. 3. Except for the provisions of the Lease Agreement identified in this Memorandum of Lease, reference is made to the terms, covenants, conditions and provisions of the Lease Agree- ment which are more particularly detailed therein. In the event of a prospective sale of the Shopping Center, Landlord has agreed to provide Tenant with notice of its intention to sell the Shopping Center; Tenant expressly acknowledges that Tenant does not have a right of first refusal with respect to such sale, but is merely being afforded an opportunity to negotiate for the purchase of the Shopping Center if and when the Landlord elects to sell the Shopping Center, if ever.
